These Terms and Conditions ("Terms") govern your access to and use of the Sigmix Mobile App "Σigmix" and the sigmix.ai Web App (collectively, the "App"), owned and operated by Sigmix, Inc., a Delaware corporation ("Company," "we," "us," or "our").

By accessing, browsing, or using any part of the App, you ("User") acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, do not use the App.

2 Platform Access and User Classification

Sigmix Mobile App is designed for retail users and provides generalized market information, analytics, and educational content. No specific investment recommendations, or personalised advice is provided.

sigmix.ai Web App is available exclusively to institutional or certified users. Access requires submission of valid company credentials and professional certifications, which will be subject to review and approval by Sigmix, Inc. Access may be granted, denied, or revoked at the sole discretion of Sigmix, Inc. No specific investment recommendations, or personalised advice is provided.

3 Nature of Service

This App provides market data, analytics, and informational insights ("Insights") regarding financial markets, including but not limited to the Saudi Tadawul and international exchanges.

Sigmix, Inc. is not a trading platform and does not execute, facilitate, or process trades or orders. We do not provide financial, investment, legal, tax, or other professional advice.

4 No Offer, No Investment Advice, and No Recommendations

No Offer or Solicitation:

The App and all content, communications, and materials provided by Sigmix, Inc. are for informational and educational purposes only and do not constitute an offer to sell, or a solicitation of an offer to buy, any security or financial instrument in any jurisdiction.

Not Registered as Broker-Dealer or Investment Adviser:

Sigmix, Inc. and its App are not registered as a broker-dealer, investment adviser, or financial planner with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Commodity Futures Trading Commission (CFTC), or any other regulatory authority.

6 User Eligibility, Applications, and Regulatory Compliance

Retail Access (Sigmix Mobile App):

Intended only for individual retail traders.

Institutional Access (sigmix.ai Web App):

• Access is limited to users who meet applicable definitions of "Qualified Investor," "Sophisticated Investor," "Institutional Investor," or equivalent under relevant regulations.
• All companies/entities must submit appropriate credentials and certifications (e.g., CMA, SAMA, SEC, FINRA, CFA, etc.) and complete a manual review process prior to approval.
• Sigmix, Inc. reserves the right to request additional documentation and to grant, deny, or revoke access at its sole discretion.

User Responsibility:

It is your responsibility to ensure compliance with all applicable laws, regulations, and licensing requirements in your jurisdiction before using the App or relying on any content. Unauthorized or unlawful use of the App is strictly prohibited.

7 No Fiduciary Duty or Client Relationship

No use of the App or any communication from Sigmix, Inc. creates a fiduciary, advisory, agency, or client relationship between you and the Company, its officers, directors, employees, or contributors.

Sigmix, Inc. is not acting as your investment adviser, broker, or agent in any capacity.

8 Risks and Limitation of Liability

Investment Risk:

Investing in securities, derivatives, or financial markets is speculative and involves significant risk, including total loss of capital. Past performance is not indicative of future results.

No Liability:

To the maximum extent permitted by law, Sigmix, Inc. and its affiliates, officers, directors, employees, agents, licensors, and contributors shall not be liable for any direct, indirect, incidental, consequential, exemplary, punitive, or special damages, losses, or expenses arising out of or relating to your access to, use of, or reliance upon the App, or any content or Insights provided, even if advised of the possibility of such damages.

Indemnification:

You agree to indemnify and hold harmless Sigmix, Inc. and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, expenses (including attorneys' fees), or demands arising out of or related to your use of the App, violation of these Terms, or violation of any applicable law or regulation.

9 Regulatory Disclosures

No Regulatory License:

Sigmix, Inc. does not possess and does not claim any license or regulatory authorization to provide investment advice, broker/dealer services, portfolio management, or other regulated financial services under the laws of any financial authority, including but not limited to the Saudi Capital Market Authority (CMA), Saudi Central Bank (SAMA), U.S. Securities and Exchange Commission (SEC), or Financial Industry Regulatory Authority (FINRA).

Licensing Requirement:

Users seeking institutional or professional access must submit valid, current proof of professional certification, registration, or license as required by their relevant jurisdiction. All applications are subject to manual review and approval.

Universal Disclaimer:

12 Jurisdiction & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

Any legal action or proceeding relating to your access to, or use of, the App shall be brought exclusively in the state or federal courts located in Delaware, USA. By using this App, you irrevocably submit to the jurisdiction of such courts and waive any objection to such venue.
